Terms and Conditions
1. Introduction These Terms and Conditions (the “Agreement”) govern the relationship between Samscope Digital Marketing Services (“Samscope”), a provider of digital marketing services, and its clients (“Clients”). By engaging Samscope, Clients agree to be bound by these terms.
Service Scope Samscope offers a range of digital marketing services, including but not limited to:
- Web design and development
- Search Engine Optimization (SEO)
- Social media content development
- Social media advertising
- Search engine advertising
- Additional related services as agreed upon in writing.
Payment Terms
- Payment Schedule: Clients must pay the full amount of the service fee upfront before work commences.
- Accepted Payment Methods: Payments are accepted via electronic transfer.
- Late Payment Penalties: If payment is delayed beyond 7 days from the due date, a penalty of 10% of the total service fee will be charged.
Client Responsibilities Clients agree to:
- Provide all necessary materials, access, and information required for Samscope to perform its services, including but not limited to access to social media accounts, website dashboards, and hosting platforms.
- Adhere to deadlines for the submission of required materials.
- Maintain communication with Samscope, scheduling at least one meeting or check-in per month during the service period.
Refund Policy:
- If the Client cancels the order, Samscope will collect a 10% cancellation fee. If the service is activated, the cost of the services will be deducted accordingly
Intellectual Property
- All marketing data, content, and designs created by Samscope will be based on the Client’s requirements.
- Samscope will not be held responsible for inaccuracies or issues with data provided by the Client.
- Ownership of all marketing data and designs created by Samscope will transfer to the Client upon full payment of the service fee.
- If the Client fails to pay the full service fee, they forfeit any rights to use or claim ownership of Samscope-provided data or designs.
Confidentiality
- Samscope will not share any Client data with third parties without prior consent.
- Client data may be used internally by Samscope for tools, research, analysis, and marketing purposes, provided confidentiality is maintained.
Termination Policy
- Either party may terminate this Agreement by providing written notice.
- In case of termination, the Client shall pay for all services completed up to the termination date.
- If the client fails to make the payment, the order will be terminated.
Limitation of Liability
- Samscope works based on the Client’s requirements, and all data and designs are approved by the Client before publication.
- Samscope will not be liable for issues arising from false, scam, or fraudulent data and designs provided or approved by the Client.
- Samscope’s liability is limited to the service fee paid by the Client.
Dispute Resolution In the event of a dispute, the following steps will be taken:
- Communication: Parties will engage in good-faith discussions to resolve the issue.
- Negotiation: Parties will attempt to reach a mutual agreement.
- Mediation: If negotiations fail, mediation will be pursued.
- Arbitration: As a final step, disputes will be resolved through arbitration.
Governing Law This Agreement will be governed by and construed in accordance with the laws of Bangladesh. Any legal actions or proceedings arising under this Agreement will be resolved in the courts of Bangladesh.
Miscellaneous
- Samscope reserves the right to update these Terms and Conditions at any time. Clients will be notified of any changes.
- This Agreement constitutes the entire agreement between Samscope and the Client and supersedes all prior agreements and understandings.
Acceptance of Terms By engaging Samscope’s services, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions.
